1. Who these terms are between
Placeholder. Will identify Counterpoint Dynamics as the provider of cpStudio, identify who the agreement binds (the subscribing organisation and its authorised users), and state that using the platform means accepting these terms.
2. Accounts and access
Placeholder. Will cover how access is granted, that credentials and API tokens are personal and must not be shared, and the user's obligation to report suspected compromise.
3. Acceptable use
Placeholder. Will set out what the platform may and may not be used for, including limits on automated access, on attempting to circumvent access controls, and on using the platform to process data the user has no right to.
4. Your data
Placeholder. Will cover ownership of the trade, portfolio and market data a customer uploads, the basis on which Counterpoint Dynamics processes and stores it, retention, and what happens to it when access ends. If a separate privacy notice is published, this section will point at it rather than duplicate it.
5. Availability and support
Placeholder. Will state what availability, if any, is committed to, and how planned maintenance and unplanned outages are handled.
6. Intellectual property
Placeholder. Will confirm that the platform, its models and its documentation remain Counterpoint Dynamics' property, and that nothing here transfers rights in them.
7. Limitation of liability
Placeholder. Will set out the limits of Counterpoint Dynamics' liability. This section carries most of the legal weight in this document and must be drafted by legal, not adapted from a template. Read alongside the Disclaimer.
8. Termination
Placeholder. Will cover how either party ends the arrangement, notice, and the effect of termination on access and on data held.
9. Changes to these terms
Placeholder. Will state how changes are made and how users are told. Note for implementation: phase 2 of #67 records which version of these terms a user accepted, so this section should describe re-acceptance on a material change.
